We are OMAC (FZE) ("Company," "we," "us," "our"), a company registered in the United Arab Emirates, with its registered office at Sharjah Research Technology and Innovation Park, University City, Sharjah, United Arab Emirates, P.O. Box 66636, Block B - Office B58-111. OMAC (FZE) holds Trade Licence No. 11651 issued by SRTI Free Zone Authority.

We operate the website https://athinaad.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Athina AD is a product operated by OMAC (FZE). Athina AD is an accessibility SaaS platform. It produces audio description, written scene descriptions, transcripts, and narration audio for video that the customer supplies, so that the video can be understood by blind, low-vision, and other users who need it. Every output is derived from video the customer supplies or identifies by link; the Services do not create standalone media from a text prompt.

Scope of the Services. The Services do not generate images, faces, avatars, or synthetic people; do not perform face swaps or produce deepfakes; and do not clone, imitate, or impersonate any person's voice. Narration audio is spoken by prebuilt synthetic voices supplied by Google's text-to-speech services, chosen by the customer from the options we make available.

Athina AD's initial primary market is the United States. The Services may nevertheless be accessed by eligible users in other countries unless we state otherwise or restrict availability for legal, regulatory, sanctions, security, provider-policy, or operational reasons.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and OMAC (FZE), concerning your access to and use of the Services. You agree that by accessing the Services, creating an account, checking an acceptance box, clicking to accept these Legal Terms, or otherwise using the Services, you have read, understood, and agreed to be bound by all of these Legal Terms and our Privacy Policy. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We may update these Legal Terms from time to time. For material changes, we will provide reasonable advance notice by email, an in-Service notice, or a prominent notice on the Site and will identify the date on which the updated terms take effect. Non-material changes, such as corrections or clarifications that do not reduce your rights, may take effect when posted. Changes required urgently for legal, regulatory, security, safety, or third-party provider reasons may take effect sooner, with notice where reasonably practicable. To the extent permitted by applicable law, your continued use of the Services after an updated version takes effect constitutes acceptance of the updated Legal Terms. Changes to features or availability are addressed in Section 14.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. Our Services

Geographic Availability

Our initial marketing focus on the United States does not mean that the Services are legally restricted to US residents. Eligible users may access the Services from other locations unless access is prohibited or restricted by applicable law, sanctions, export controls, third-party provider requirements, or a notice we provide.

You are responsible for ensuring that your User Materials and your use and distribution of generated outputs comply with laws applicable to you. However, this responsibility does not waive or transfer any mandatory legal obligations that apply to OMAC (FZE), nor does it deprive you of consumer, privacy, or other rights that cannot lawfully be waived.

We may limit, suspend, or discontinue access in a country or region if we reasonably determine that offering the Services there would create legal, regulatory, security, sanctions, provider-policy, or operational risk. Availability from a particular location does not represent that every feature is appropriate, lawful, or formally offered for every regulated or professional use in that location.

YouTube Features

Athina AD uses YouTube API Services when you choose to submit a YouTube link. By using Athina AD's YouTube-link feature, you also agree to be bound by the YouTube Terms of Service. You should also review the Google Privacy Policy. Athina AD's collection, use, sharing, retention, and deletion of YouTube API Data are described in our Privacy Policy.

When you submit a YouTube link, Athina AD retrieves public metadata through YouTube API Services to confirm that the video exists, is publicly available, and is within the supported duration. Links to private, unlisted, made-for-kids, embedding-disabled, or region-blocked videos are rejected. Athina AD then passes the public video URL to our AI provider, which retrieves the video from YouTube in order to analyze it. Athina AD does not download the YouTube video file, store a copy of it, or make it available for offline playback. The YouTube-link feature does not ask for your YouTube credentials, access your private YouTube account, or upload, edit, delete, like, comment on, or otherwise act on your YouTube channel. Athina AD is not sponsored, endorsed, or operated by YouTube or Google.

Submitting a public YouTube link does not establish that you own or have permission to copy, transform, describe, transcribe, or distribute the video. You may submit a YouTube link only when you have all rights, licenses, consents, permissions, and other legal authority needed for Athina AD to process it and for you to use the resulting outputs. You must comply with the YouTube Terms of Service, the rights of the video's owner and participants, and applicable copyright, privacy, publicity, and other laws.

You must not use Athina AD to scrape YouTube, bypass access controls, process private or unlisted videos without authorization, download or enable offline playback of YouTube content without permission, interfere with YouTube attribution or playback, or facilitate copyright infringement. Athina AD may reject private, unlisted, made-for-kids, embedding-disabled, region-blocked, removed, restricted, or otherwise unsupported videos.

Athina AD's processing or acceptance of a link is not a legal determination that you have sufficient rights. You remain responsible for the link and resulting outputs. YouTube may change, restrict, or discontinue its API services or policies, and we may modify or discontinue the YouTube-link feature to comply with those changes.

The Services are not currently configured, certified, or contractually offered for protected health information regulated by HIPAA or HITECH; education records regulated by FERPA; information subject to GLBA; federal-government information requiring FISMA-specific controls; or other data that requires a specialized regulated-data agreement or security framework. You must not submit that information unless OMAC (FZE) has expressly agreed in a separate written agreement that the relevant use is supported. This restriction does not prevent ordinary use by a healthcare, education, financial, government, or other organization when the submitted User Materials are not subject to those specialized requirements.

AI-Generated Outputs

ATHINA AD uses artificial intelligence and automated processing systems to generate video descriptions, transcripts, translations, narration audio, timing suggestions, and related accessibility outputs. You understand that AI-generated outputs may contain errors, omissions, misinterpretations, hallucinations, inaccurate timing, incomplete descriptions, incorrect transcription, imperfect translation, or other defects.

You are responsible for reviewing and approving any output before you publish, distribute, rely on, or otherwise use it. ATHINA AD does not guarantee that any output will be complete, accurate, suitable for a particular audience, compliant with accessibility laws or standards, or appropriate for any legal, medical, safety-critical, emergency, regulated, or professional purpose.

You are responsible for providing any notice, label, disclosure, consent information, or provenance required by applicable law or a distribution platform for AI-generated, synthetic, translated, altered, or accessibility-related media. You must not remove a required watermark, provenance marker, attribution, or safety notice from an output or source material.

ATHINA AD may reject, block, or fail to process certain content due to technical limitations, safety systems, third-party platform restrictions, copyright restrictions, model-provider policies, or other reasons.

No Model Training And Limited Improvement Use

Athina AD does not currently operate its own foundation model and does not use your User Materials or generated outputs to train or fine-tune an Athina AD machine-learning model or any other model.

We may use the minimum information reasonably necessary—including prompts, generated outputs, diagnostic copies, metadata, and error or performance logs—to provide support, investigate and reproduce failures, evaluate output quality, improve prompts and processing workflows, prevent abuse, and improve the reliability, accessibility, and safety of the Services. This limited operational use is service improvement and prompt evaluation, not model training or fine-tuning. Authorized personnel may review such information where reasonably necessary for these purposes, subject to our Privacy Policy and applicable retention limits.

Athina AD currently uses the Gemini API through a Google Cloud project with active Cloud Billing. Under Google's current paid-service terms, Google states that it does not use prompts, associated files, or responses to improve Google's products, although Google may retain or log information for a limited period for abuse prevention, security, and legal or regulatory purposes. Third-party processing remains governed by the provider's then-current terms and data-processing commitments.

If we later propose to use customer content to train or fine-tune a model for our benefit, we will update our Privacy Policy before beginning that processing and obtain consent or another valid legal basis where required. A later policy update will not by itself authorize us to repurpose previously collected customer content for model training.

2. Intellectual Property Rights

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

For clarity, "Content" does not include User Materials or generated outputs, ownership and permitted use of which are addressed in Sections 8 and 9.

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your use of the Services. This does not give you ownership of our software, website, brand assets, templates, systems, or other proprietary materials.

Your Use Of Our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

  • access the Services; and
  • download or print a copy of any portion of the Content to which you have properly gained access,

solely for your permitted use of the Services, including business or creator use, in accordance with these Legal Terms and applicable law.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited apart from your permitted use of the Services and your permitted use of outputs generated from materials you have the right to submit. You may use generated outputs for personal, creator, organizational, or commercial purposes, provided that you have all rights, licenses, consents, and permissions required for the source materials and your use complies with these Legal Terms and applicable law. Your plan may determine the features, usage limits, storage, processing capacity, and other service benefits available to you, but it does not restrict whether you may use a lawfully generated output for commercial purposes.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: info@athinaad.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

A breach of this section may result in restriction, suspension, or termination under Section 13, including notice and an opportunity to cure where reasonably appropriate. We may take immediate action where delay could create legal, safety, security, abuse, provider-policy, or operational risk.

Your Feedback And Suggestions

Please review this section and the "PROHIBITED ACTIVITIES" section carefully prior to using our Services to understand the rights you give us when you send comments, suggestions, ideas, feedback, or similar information about the Services.

Feedback: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Feedback"), you grant OMAC (FZE) a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, disclose, modify, and incorporate that Feedback for lawful purposes related to our products, services, and business, without an obligation to compensate or credit you. This license applies to the Feedback itself and does not give us ownership of User Materials or personal information included with a support request.

By sending us Feedback through any part of the Services you:

  • confirm that you have read and agree with our "PROHIBITED ACTIVITIES" and will not send Feedback that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
  • to the extent permissible by applicable law, waive any and all moral rights to any such Feedback;
  • warrant that any Feedback is original to you or that you have the necessary rights and licenses to submit it; and
  • warrant and represent that your Feedback does not constitute confidential information.

You are responsible for ensuring that you have the right to provide Feedback and that doing so does not unlawfully disclose another person's confidential information or infringe a third party's rights. Any liability relating to Feedback is governed by the indemnification and liability provisions below rather than a separate obligation to reimburse us for all losses.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are at least 18 years old; (5) you will not access the Services through automated or non-human means except through an API, integration, or automation method that we expressly authorize; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation. If you accept these Legal Terms or use the Services on behalf of a company or other organization, you also represent that you are authorized to bind that organization, and "you" includes that organization.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. User Registration

You may be required to register to use the Services. When you create an account, sign in, check an acceptance box, or continue using the Services, you agree to these Legal Terms and our Privacy Policy. You agree to keep your login credentials confidential, to notify us promptly of suspected unauthorized account access, and to remain responsible for activity conducted through your account to the extent permitted by applicable law.

5. Purchases And Payment

Athina AD offers a Free plan, paid subscriptions, promotional access where offered, and Pay-As-You-Go minute purchases. The current intended standard prices are USD 0 for the Free plan, USD 15 for each 30-day Basic subscription period, USD 30 for each 30-day Content Creator subscription period, and USD 0.60 per source-video minute purchased through Pay-As-You-Go. Basic and Content Creator each currently include 60 source-video minutes per paid subscription period. Unused subscription minutes expire at the end of each 30-day period and do not roll over. Each successfully completed video-description job includes up to fifteen (15) minutes of access to the post-job assistant for discussing or refining that job. The Free plan, plan features, output formats, storage, advertising, watermarks, usage limits, and other service benefits are described on the pricing page and at checkout. Pay-As-You-Go is a purchase of minutes and is not a 30-day subscription. Pay-As-You-Go minutes do not expire. Usage is measured from the duration of each submitted source video, and any partial minute is rounded up to the next whole minute.

Prices, included usage, features, and limits presented on the pricing page may change prospectively. The specific price, currency, included minutes, material plan features, billing period, renewal status, taxes or fees, and other purchase conditions displayed and accepted at checkout govern that purchase. We will not reduce the purchased access period or included minutes during a period already paid for, except where reasonably necessary to address fraud, abuse, legal requirements, security, or a breach of these Legal Terms. We will obtain the authorization and consent required by applicable law before charging a payment method.

OMAC (FZE) is the seller and merchant of record for Athina AD purchases. We issue receipts and process cancellations and refunds under our Refund and Cancellation Policy, the terms accepted at checkout, and applicable law. Payments are processed on our behalf by our payment provider, which is identified at checkout and which handles card processing and related fraud checks without becoming the seller. Applicable transaction taxes, where required, are shown at checkout. If we change payment provider, the new provider will be identified before purchase and our relevant legal notices will be updated.

Refund and cancellation rights are described in our Refund and Cancellation Policy at https://athinaad.com/refund/. Customers may contact us at info@athinaad.com about a product problem. Refund requests may also be submitted from the Athina AD billing page or using the link in the transaction receipt. OMAC (FZE) investigates and approves an appropriate remedy and, where a refund is approved, issues it through our payment provider to the original payment method. Nothing in these Legal Terms or the Refund and Cancellation Policy limits a mandatory consumer right.

We may refuse or cancel a transaction that appears fraudulent, abusive, unauthorized, technically erroneous, or contrary to these Legal Terms. Any resulting refund or correction will be handled through the applicable payment provider as required by the accepted purchase terms and applicable law. If a refund is issued, the corresponding paid access or refunded unused minutes may be removed, subject to applicable law.

6. Subscriptions

Basic And Content Creator Subscriptions

Basic and Content Creator are recurring subscriptions. Each payment provides 30 consecutive days of access beginning on the purchase or renewal date. Unless you cancel before the next renewal or the subscription otherwise ends, the subscription renews for another 30-day period and the payment method on file is charged at the renewal price disclosed to you.

You may cancel at any time from the Athina AD billing page in your account, through the subscription-management link in your receipt, or by contacting us for assistance. Cancellation stops the next renewal. Unless a refund or another remedy is granted, you retain the paid plan through the end of the 30-day period already paid for and then revert to the Free plan. Cancellation by itself does not create a prorated refund for unused days, minutes, or features.

If the renewal price changes, we will provide advance notice where required by applicable law. The new price will apply no earlier than the next renewal after the notice takes effect. You may cancel before that renewal. Where applicable law requires express consent to a price change, the changed price will not be charged without that consent.

USD 1 Promotional Access

During August 2026, Athina AD may offer eligible customers one 30-day period of promotional paid access for USD 1. We may extend the period in which new customers can purchase this promotion through September 2026 by displaying the extended closing date on the pricing page and at checkout. Extending the purchase window does not change the 30-day access period attached to an individual purchase.

The USD 1 promotion is a non-renewing promotional purchase. It does not automatically renew and does not automatically convert into a USD 15 Basic subscription, a USD 30 Content Creator subscription, or another paid plan. At the end of the purchased 30-day period, the account reverts to the Free plan unless the customer separately chooses and purchases another plan. The exact promotional features and limits will be displayed and accepted before purchase.

Promotions And Trials Generally

Any future promotion or trial will disclose its eligibility rules, access period, included features and usage, price, whether a payment method is required, whether it renews or converts, the amount and date of any later charge, and how to cancel. We will not convert a non-renewing promotion into a paid recurring subscription without the customer's affirmative agreement to the new subscription terms.

7. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with unauthorized commercial endeavors, resale, redistribution, or competing services except where specifically endorsed or approved by us. This restriction does not prevent you from using generated outputs for personal, creator, organizational, or commercial purposes, provided that you have all rights, licenses, consents, and permissions required for the source materials and your use complies with these Legal Terms and applicable law.

As a user of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.
  • Make unlawful threats, engage in harassment, or publish knowingly false or unlawfully defamatory statements about another person. Nothing in this restriction prevents honest reviews, criticism, complaints, reports to regulators, or the exercise of a legal right.
  • Use any information obtained from the Services in order to harass, abuse, or harm another person.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Use the Services in a manner inconsistent with any applicable laws or regulations.
  • Engage in unauthorized framing of or linking to the Services.
  • Upload or transmit malware, malicious code, denial-of-service traffic, spam, or other material intended or reasonably likely to disrupt, damage, monitor, or gain unauthorized access to the Services, a provider, or another person's systems or data.
  • Engage in unauthorized automated use of the Services, including scraping, bulk extraction, abusive scripts, or robots, except through an API, integration, or automation method that we expressly authorize.
  • Delete the copyright or other proprietary rights notice from any Content.
  • Attempt to impersonate another user or person or access or use another person's account without authorization.
  • Use the Services to deploy spyware, credential-stealing tools, hidden tracking mechanisms, or other code that collects or transmits information without appropriate notice, permission, or legal authority.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
  • Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
  • Copy, modify, adapt, or create derivative works from the Services' software except as expressly permitted by us or applicable law.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
  • Except through an API, integration, search-engine crawler, or other method that we expressly authorize, use, launch, develop, or distribute an automated system that accesses, extracts from, disrupts, or places unreasonable load on the Services.
  • Make any unauthorized use of the Services, including collecting account identifiers or email addresses for unsolicited communications or creating accounts by automated means or under false pretenses.
  • Use the Services as part of any effort to compete with us or otherwise resell, sublicense, white-label, or commercially exploit the Services, our Content, our Marks, or access to the Services without our written permission.
  • Sell, transfer, rent, or provide another person with unauthorized access to your account.
  • Create, upload, process, or distribute child sexual abuse material, sexual exploitation content, or any sexual content involving a minor.
  • Create, upload, process, or distribute pornography, explicit sexual activity, or other sexually explicit material that the Services or our providers do not support, even if the material is lawful and involves adults.
  • Create, upload, process, or distribute non-consensual intimate imagery or content that unlawfully exploits a person's image, voice, identity, or likeness.
  • Impersonate another person or deceptively represent that synthetic or altered audio, video, or text is authentic in order to mislead, defraud, harass, or cause harm.
  • Facilitate fraud, phishing, identity theft, scams, deceptive commercial practices, or evasion of legal or platform safeguards.
  • Dox, unlawfully surveil, track, profile, or disclose sensitive or private information about another person without a valid legal basis or permission.
  • Create, upload, process, or distribute content that promotes or facilitates unlawful discrimination, hate-based abuse, targeted harassment, credible threats, violent wrongdoing, terrorism, graphic violence, or instructions intended to enable serious physical harm.
  • Encourage, instruct, or facilitate suicide, self-harm, or an eating disorder, or target a vulnerable person with content reasonably likely to cause such harm. This does not prohibit good-faith educational, documentary, recovery, prevention, or support content that the Services and our providers can safely process.
  • Use the Services to manipulate or deceptively misrepresent election or civic-process information in violation of applicable law.
  • Submit trade secrets, confidential business information, personal information, or other restricted material unless you have authority to do so and the Services are appropriate for that material.
  • Use generated outputs as the sole basis for decisions about a person's eligibility, access, employment, housing, credit, insurance, education, healthcare, legal rights, or other similarly significant interests.
  • Circumvent or attempt to circumvent content, abuse-prevention, usage, access, or model-provider safety controls.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use automated bots or scripts to abuse the Services or exceed authorized limits.

Safety Screening And Review

We may use automated and manual measures to identify suspected abuse, illegal material, security threats, provider-policy violations, or violations of these Legal Terms. Automated systems can make mistakes. Where reasonably practicable and lawful, you may ask us at info@athinaad.com to review a content rejection, restriction, suspension, or termination. We may preserve relevant User Materials, generated outputs, account data, and logs for the periods described in our Privacy Policy when reasonably necessary to investigate abuse, comply with law, protect a person, resolve an appeal, or establish or defend legal claims.

8. User Materials

The Services allow you to upload, submit, or provide materials for processing, such as video files, public video links, audio, visual content, metadata, transcripts, prompts, feedback, support messages, and related information ("User Materials"). User Materials are not public posts and are not made publicly available by default.

You represent and warrant that you own or have all rights, licenses, consents, permissions, and releases necessary to submit User Materials to the Services and to allow us to process them as described in these Legal Terms and our Privacy Policy. This includes any rights needed for copyrighted videos, audio, images, dialogue, likenesses, voices, personal information, public video links, and third-party platform content.

For public video links, your authorization is limited by the rights you actually hold and by the originating platform's terms. These Legal Terms do not grant you or OMAC (FZE) ownership of, or additional rights in, content hosted by YouTube or another third-party platform.

You are solely responsible for your User Materials and for your use of generated outputs. Your User Materials must not violate any law, infringe intellectual property rights, violate privacy or publicity rights, contain illegal or harmful content, or otherwise violate these Legal Terms.

Any use of the Services in violation of the foregoing may result in rejection of the submitted material, removal or disabling of generated outputs, suspension or termination of your account, or other action we consider appropriate.

9. User Materials License

You retain any ownership rights you already hold in your User Materials. OMAC (FZE) does not claim ownership of your source videos, public video links, audio, metadata, transcripts, prompts, or support messages.

OMAC (FZE) does not claim ownership of generated outputs. As between you and OMAC (FZE), and to the extent permitted by applicable law, you may use generated outputs for personal, creator, organizational, or commercial purposes, provided that you have all rights, licenses, consents, and permissions required for the source materials and your use complies with these Legal Terms, applicable law, and third-party rights. AI-generated material may not qualify for copyright or other intellectual-property protection in every jurisdiction. Outputs may be similar or identical to outputs produced for other users, and we do not promise that an output is unique, exclusive, non-infringing, or free of third-party rights. Any third-party content, trademarks, likenesses, voices, music, or other protected material contained in an output remains subject to the rights of its owner.

You grant OMAC (FZE) a limited, worldwide, non-exclusive, royalty-free license to host, copy, upload, download, transmit, process, analyze, transform, generate, store, display to you, reproduce for backup or debugging, and otherwise use your User Materials and generated outputs only as needed to provide, secure, support, enforce, and operate the Services; process your requests; maintain your account history; diagnose and reproduce errors; evaluate output quality; improve prompts, processing workflows, reliability, accessibility, and safety; detect and prevent abuse; comply with law; and handle disputes, copyright claims, or security incidents. We may permit our disclosed service providers and subprocessors to exercise this license only to the extent reasonably necessary to provide their services to us. This license does not authorize OMAC (FZE) to use User Materials or generated outputs to train or fine-tune a machine-learning model.

This license begins when you submit User Materials and lasts only for as long as the applicable material is retained for the purposes and periods described in these Legal Terms and our Privacy Policy. It ends when the material is deleted from active systems, except that limited copies may remain for the applicable backup cycle or for as long as reasonably necessary to comply with law, address fraud or abuse, protect safety or security, resolve disputes, or establish or defend legal claims. User Materials are non-public by default, but submission to the Services does not create a professional duty of confidentiality or a separate nondisclosure agreement. Do not submit business-confidential or legally privileged information unless you have determined that the Services and our disclosed provider arrangements are appropriate for it or we have entered into a separate written agreement covering that information.

For content identified only through a YouTube link, this license authorizes processing solely to the extent you have the legal authority to grant it. Athina AD does not download, store, or make YouTube audiovisual content available for offline playback; as described above, the public link is passed to our AI provider, which retrieves the video from YouTube in order to analyze it. YouTube API Data is subject to the additional use, retention, refresh, and deletion limits described in our Privacy Policy.

You must not upload, submit, link to, process, or use content through the Services unless you have the rights and permissions needed to do so. This includes videos, audio, music, images, dialogue, names, likenesses, public video links, and any third-party materials contained in source content or generated outputs.

We may reject, block, remove, disable, preserve, or review User Materials and generated outputs when we believe they may violate copyright, third-party rights, these Legal Terms, our policies, law, or platform-provider requirements. We may suspend or terminate accounts of users who repeatedly infringe or submit materials they do not have the right to use.

11. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms and to take proportionate action when we reasonably believe content or conduct is unlawful, infringing, unsafe, abusive, fraudulent, technically harmful, excessively burdensome, contrary to provider requirements, or otherwise violates these Legal Terms. Action may include rejecting a request, restricting a feature, disabling or removing User Materials or generated outputs, preserving evidence, suspending an account, notifying an affected provider or rights holder, or reporting information to authorities where required or permitted by law. Notice, cure, review, retrieval, and emergency-action procedures are governed by Section 13. Nothing in this section authorizes us to disregard rights or remedies that cannot lawfully be excluded.

12. Privacy Policy

The Privacy Policy describes how OMAC (FZE) collects, uses, discloses, retains, and protects personal information and is incorporated into these Legal Terms to the extent permitted by applicable law.

OMAC (FZE) is established in the United Arab Emirates. The Services use infrastructure and service providers in the United States and may use providers or personnel in other verified locations. Personal information may therefore be transferred to or processed outside the country where you live. The Privacy Policy describes the applicable purposes, recipients, regional rights, and transfer safeguards. We do not rely solely on your continued use of the Services as the legal basis for every international transfer.

Our primary US market does not prevent mandatory privacy or consumer laws in another jurisdiction from applying where their legal requirements are met. Before we actively target or establish significant operations in additional markets, we may introduce jurisdiction-specific notices, contract terms, features, or restrictions.

13. Term And Termination

These Legal Terms remain in effect while you access or use the Services. You may stop using the Services at any time and may request account deletion as described in our Privacy Policy.

We may reject content, restrict features, suspend access, or terminate an account when we reasonably believe that: (1) you materially or repeatedly breached these Legal Terms; (2) your use is illegal, fraudulent, abusive, infringing, unsafe, or creates a security risk; (3) action is required by law, a court, a regulator, or a service or model provider whose rules apply to the feature; (4) your use threatens another person, the Services, our providers, or other users; or (5) continued provision of the Services is no longer reasonably practicable. For an ordinary breach that can reasonably be corrected, we may provide notice and an opportunity to cure before termination. We may act immediately where delay could create legal, safety, security, abuse, provider-policy, or operational risk.

Where reasonably practicable and lawful, we will notify you of an account suspension or termination and its general reason. You may request review by contacting info@athinaad.com. If access to stored generated outputs is material to you, you should download them promptly; when reasonably practicable, we may provide a limited opportunity to retrieve available outputs before a non-urgent termination or discontinuation.

After termination, your right to use the Services ends. We may delete or retain account data, User Materials, generated outputs, and logs in accordance with our Privacy Policy and applicable law. Provisions that by their nature should survive termination—including provisions concerning intellectual property, output limitations, accrued payment obligations for any future paid service, disclaimers, liability, indemnification, disputes, and permitted retention—will survive. You must not evade a valid suspension or termination by creating or using another account without our permission.

14. Modifications And Interruptions

We may update features, models, providers, limits, interfaces, or technical requirements and may perform maintenance as the Services evolve. Routine changes, experiments, maintenance, and corrections may occur without advance notice. If we plan to materially discontinue the Services or a core feature on which users reasonably rely, we will provide reasonable advance notice and, where reasonably practicable, an opportunity to retrieve available generated outputs. We may make immediate changes or suspend access without advance notice when reasonably necessary for security, safety, legal compliance, provider availability or policy, abuse prevention, or emergency maintenance.

We cannot guarantee uninterrupted or error-free availability. Hardware, software, network, provider, model, maintenance, or other problems may cause interruptions, delays, changed outputs, or errors. Nothing in these Legal Terms obligates us to maintain a particular feature, provider, model, integration, usage limit, or output format indefinitely. Any limitation or exclusion of liability for a modification, interruption, or discontinuation is subject to Section 19 and any rights that cannot lawfully be excluded.

Updates to these Legal Terms are governed by the notice and effective-date provisions in the Agreement To Our Legal Terms above. Price changes for an active paid subscription will be handled as described in Sections 5 and 6 and the applicable checkout terms.

15. Governing Law

These Legal Terms and any contractual or non-contractual dispute arising out of or relating to them or the Services are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, without regard to conflict-of-law principles.

If you are a consumer, this choice of law does not deprive you of any protection provided by laws that apply to you and that cannot lawfully be excluded or changed by agreement, including mandatory protections that may apply in the country or state where you habitually reside. Nothing in these Legal Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited.

16. Dispute Resolution

Informal Resolution

Before commencing formal proceedings, you and OMAC (FZE) should attempt in good faith to resolve the dispute by written notice. The notice must describe the dispute and the requested resolution and must be sent to info@athinaad.com. The receiving party will have thirty (30) days to respond.

This informal process does not prevent either party from seeking urgent or protective relief, filing a consumer or regulatory complaint, preserving a legal deadline, or exercising any right that cannot lawfully be restricted.

Consumers

If you are a consumer under applicable law, you may bring a claim before any court or dispute-resolution body that has mandatory jurisdiction over the claim. This may include the competent courts where you habitually reside when applicable law gives you that right. OMAC (FZE) may bring proceedings against a consumer only in a court permitted by applicable law.

UAE consumers may also submit complaints through the competent UAE consumer-protection authority. Nothing in this section limits any mandatory consumer complaint, compensation, court, or regulatory remedy.

Business Users

If you use the Services in the course of a trade, business, or profession and are not treated as a consumer under applicable law, the competent federal courts located in the Emirate of Sharjah shall have exclusive jurisdiction over disputes arising out of or relating to these Legal Terms or the Services.

No Mandatory Arbitration

These Legal Terms do not require arbitration. After a dispute arises, the parties may agree in a separate written agreement to use mediation or arbitration where permitted by applicable law. A separately negotiated business agreement may contain its own valid dispute-resolution provision.

17. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

18. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT USER MATERIALS OR GENERATED OUTPUTS WILL BE PRESERVED; OR THAT CONTENT OR GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, UNIQUE, ACCESSIBILITY-COMPLIANT, OR SUITABLE FOR YOUR PURPOSE. WE ARE NOT RESPONSIBLE FOR A THIRD-PARTY WEBSITE, PLATFORM, MODEL, CLOUD SERVICE, OR OTHER PROVIDER MERELY BECAUSE THE SERVICES LINK TO OR DEPEND ON IT. NOTHING IN THIS SECTION EXCLUDES A WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

19. Limitations Of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER OMAC (FZE) NOR ITS DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF OMAC (FZE) AND ITS DIRECTORS, EMPLOYEES, AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE LEGAL TERMS WILL NOT EXCEED THE GREATER OF: (1) USD 100; OR (2) THE TOTAL FEES YOU PAID TO OMAC (FZE) FOR THE SERVICES DURING THE SIX (6) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS CAP APPLIES COLLECTIVELY TO ALL CLAIMS AND ALL LEGAL THEORIES, NOT SEPARATELY TO EACH CLAIM.

NOTHING IN THESE LEGAL TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION; WILLFUL MISCONDUCT; GROSS NEGLIGENCE TO THE EXTENT IT CANNOT LAWFULLY BE LIMITED; DEATH OR PERSONAL INJURY TO THE EXTENT CAUSED BY A MATTER FOR WHICH LIABILITY CANNOT LAWFULLY BE LIMITED; PAYMENT OBLIGATIONS; OR ANY WARRANTY, CONSUMER REMEDY, PRIVACY OR DATA-PROTECTION LIABILITY, OR OTHER MATTER THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW PARTICULAR EXCLUSIONS OR LIMITATIONS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless OMAC (FZE) and its officers, directors, employees, and agents from a third-party claim, and from reasonable losses, liabilities, damages, judgments, and legal costs finally awarded or agreed in settlement, to the extent caused by: (1) User Materials you submit that infringe, misappropriate, or violate the third party's intellectual-property, privacy, publicity, confidentiality, or other rights; (2) your material breach of these Legal Terms or representations; or (3) your fraud, unlawful conduct, or willful misuse of the Services. This obligation does not apply to the extent a claim was caused by OMAC (FZE)'s breach, negligence, willful misconduct, or unauthorized modification or use of the User Materials. We will provide reasonably prompt notice, allow you to participate in the defense, and not agree to a settlement that admits your fault or imposes a non-monetary obligation on you without your consent, which will not be unreasonably withheld. We may assume control of the defense at our own expense where reasonably necessary to protect the Services or other users.

21. User Data

We maintain certain data that you transmit to the Services, and data relating to your use of the Services, for the purposes and periods described in these Legal Terms and our Privacy Policy. If our Privacy Policy specifies a shorter retention or deletion period for a particular category of data, that shorter period will control, subject only to an exception expressly stated in the Privacy Policy or retention required by applicable law. The Services are not an archival or backup service. You should retain your own copy of source material and promptly download any generated output you need. Availability, deletion, loss, or corruption of data is subject to the disclaimers, liability provisions, mandatory-law exceptions, and privacy obligations in these Legal Terms and our Privacy Policy.

Source Files, Generated Outputs, And Diagnostic Retention

When you upload a source video or submit a public video link, ATHINA AD uses it to provide the requested processing and generate outputs such as descriptions, transcripts, narration audio, timing data, and video files where available. We do not claim ownership of your source material.

ATHINA AD retains an original uploaded source video for up to ninety (90) days after upload for processing, troubleshooting, service reliability, quality evaluation, safety, abuse prevention, and support, and then automatically deletes it. The retained original is not displayed in the customer dashboard or account history and is not available to the customer for viewing or download after submission. If the account is deleted earlier, the active original upload is deleted as part of account deletion, subject to limited legal, security, fraud, dispute, and provider backup or soft-deletion exceptions. Temporary copies submitted to a processing provider may expire earlier under that provider's rules.

The ninety-day diagnostic period does not override the shorter limits applicable to YouTube API Data. Public, non-authorized YouTube API Data must be deleted or refreshed within thirty (30) calendar days and deleted within seven (7) calendar days after a valid user deletion request, subject to applicable law and as described in our Privacy Policy.

Generated outputs, assistant interactions, job history, and customer-facing account records are retained while the account remains active. They are deleted when the account is deleted, subject to limited payment, tax, fraud-prevention, security, dispute, copyright, legal-compliance, and deletion-proof records retained separately as described in our Privacy Policy.

22. Electronic Communications, Transactions, And Signatures

Visiting the Services, creating an account, accepting these Legal Terms or our Privacy Policy online, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. To the extent permitted by applicable law, you agree that electronic signatures and records may be used for transactions that you choose to initiate or complete through the Services. Nothing in this section waives any right or requirement that cannot lawfully be waived, requires you to accept electronic delivery where separate consent or paper delivery is required by law, or authorizes any charge or payment. Payment transactions are governed by Section 5 and the specific terms presented at checkout.

24. Miscellaneous

These Legal Terms, our Privacy Policy, and any additional terms or policies expressly incorporated by reference in these Legal Terms or presented and accepted in connection with a specific purchase or feature constitute the entire agreement and understanding between you and us concerning the Services. No other website statement, help content, or operating rule forms part of this agreement unless it is expressly identified as forming part of it. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. Nothing in these Legal Terms excludes, restricts, or waives a consumer, privacy, or other right or remedy that cannot lawfully be excluded, restricted, or waived. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms, except where such a waiver is prohibited by applicable law.
